Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Keyda platform. By creating an account or accessing any part of the platform, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Keyda Technologies Limited (“Keyda”, “we”, “us”). If you do not agree to these Terms, you may not access or use the platform.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts under Nigerian law. By registering, you represent that you meet these requirements.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must provide accurate, current, and complete information during registration.
  • You must not share your account or allow others to use your KeydaID.
  • You must notify us immediately of any unauthorised access at security@keyda.ng.

4. Property Listings

Property owners and agents (“Listers”) agree that:

  • All listings must be accurate, truthful, and non-misleading.
  • Listers must have legal authority to list the property (ownership certificate, valid agency agreement, or written landlord consent).
  • Keyda reserves the right to moderate, edit, or remove any listing that violates these Terms.
  • Listing a property does not guarantee tenancy or income.
  • All prices must be quoted in Nigerian Naira (NGN).

5. Tenant Applications

  • Submitting an application does not guarantee tenancy.
  • TrueScore requirements set by landlords are advisory; final acceptance is at the landlord's discretion.
  • Tenants must not submit false documentation or misrepresent their identity.
  • Fraudulent applications may result in permanent account suspension and referral to law enforcement.

6. Lease Agreements

  • Leases executed on Keyda are legally binding agreements between tenant and landlord/agent.
  • Lease hashes are published to the Polygon blockchain for tamper-proof record-keeping. This does not constitute legal notarisation.
  • Keyda is not a party to any lease agreement. We provide the technology infrastructure only.
  • Early termination, subletting, and other lease modifications must follow the terms set out in the individual lease document.

7. Payments & RNPL

  • All payment processing is handled by Paystack (a CBN-licensed payment service provider). Keyda does not store card data.
  • RNPL (Rent Now, Pay Later) is a credit product. Eligibility is determined by TrueScore and is not guaranteed.
  • Missed RNPL instalments will negatively affect your TrueScore.
  • Keyda service fees (if applicable) will be disclosed transparently at checkout.
  • Refunds are subject to individual lease terms and our Refund Policy (available at About).

8. TrueScore

  • TrueScore is a proprietary scoring system based on identity verification, payment history, tenancy behaviour, community reviews, and platform engagement.
  • Keyda makes no warranties regarding TrueScore accuracy or its suitability for any specific purpose.
  • Attempting to manipulate or game TrueScore is a breach of these Terms and may result in account termination.

9. Prohibited Conduct

You must not:

  • List or apply for properties with fraudulent intent.
  • Reverse-engineer, scrape, or probe the platform or its APIs without authorisation.
  • Harass, threaten, or abuse other users.
  • Post misleading, defamatory, or illegal content.
  • Circumvent any security or verification mechanism.
  • Use the platform for money laundering or any activity that violates the Nigerian EFCC Act or any applicable AML law.

10. Intellectual Property

All intellectual property on the platform — including the Keyda brand, TrueScore algorithm, and platform design — is owned by Keyda Technologies Limited. You are granted a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose.

11. Limitation of Liability

To the maximum extent permitted by Nigerian law, Keyda's total liability for any claim arising from these Terms or your use of the platform shall not exceed the total fees paid by you to Keyda in the 12 months preceding the claim.

Keyda is not liable for disputes between tenants and landlords, property damage, or any indirect, consequential, or punitive damages.

12. Termination

Keyda may suspend or terminate your account at any time for breach of these Terms, fraudulent activity, or if required by law. You may close your account by contacting support@keyda.ng. Active lease obligations survive termination.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after that date constitutes acceptance.
